A significant step forward has been authorized for Top Line Business Development Corp., as regulators have given the green light to a substantial share offering. The approval allows the company to move ahead with plans to raise up to P1.5 billion in an initial tranche, potentially fueling future growth and expansion.
The decision came during a meeting on April 28th, where the Commission En Banc deemed the registration statement for up to 150 million preferred shares effective. This approval, however, is contingent upon the company fulfilling a few remaining requirements, ensuring transparency and investor protection.
The initial offering will consist of up to 10 million preferred shares, each priced at P100, with the possibility of an additional 5 million shares being offered if demand exceeds expectations. This oversubscription option could significantly boost the total capital raised.
If fully subscribed, the offering is projected to generate approximately P1.47 billion in net proceeds. Top Line intends to strategically allocate these funds to bolster working capital, invest in crucial depot infrastructure – including construction and renovations – and cover essential corporate expenses.
Investors mark your calendars: the offer period is slated to run from May 19th to June 1st. Following a successful offering, the company aims to list the shares on the Philippine Stock Exchange’s main board by June 11th, according to their latest schedule.
PNB Capital and Investment Corp. will spearhead the offering as the sole issue manager, working in collaboration with Security Bank Capital and Investment Corp. as joint lead underwriters and bookrunners, ensuring a smooth and efficient process.
Despite this positive development, trading activity in Top Line shares remained steady on Wednesday, closing at P1.41 per share. The coming weeks will be critical as the company prepares to launch the offering and engage with potential investors.
