AFS DEADLINE DELAYED: FILE NOW OR FACE THE FALLOUT!

Corporations across the nation have been granted a crucial extension for submitting their annual financial statements. This decision, stemming from the Securities and Exchange Commission (SEC), directly responds to a recent shift in the deadline for income tax filings announced by the Bureau of Internal Revenue (BIR).

SEC Chairperson Francisco Ed. Lim emphasized the agency’s commitment to facilitating a smooth process for businesses. The extension isn’t merely about alignment; it’s about providing companies with the necessary breathing room to meticulously finalize their reports and guarantee the highest levels of accuracy and completeness.

The BIR’s move to push the deadline for the 2025 Annual Income Tax Return to May 15 triggered the SEC’s response. Because financial statements require official stamping or acknowledgement from the BIR before submission to the Commission, a revised schedule became essential to avoid undue burden on businesses.

Specifically, the deadline for submitting annual financial statements for most domestic and foreign corporations, those with a December 31st fiscal year-end, has been extended to June 15th. This represents a shift from the original May 29th deadline, offering a significant window of additional preparation time.

This adjustment encompasses a broad spectrum of corporate entities. It applies not only to standard corporations but also to branch offices, representative offices, regional headquarters, and operating headquarters of foreign companies, as well as those operating under SEC extension offices.

A separate, earlier deadline adjustment applies to brokers and dealers. Their SEC Form 52-AR, accompanied by their annual financial statements, is now due May 15th, a change from the previous April 30th deadline.

Companies with securities listed on the Philippine Stock Exchange, alongside non-listed issuers, public companies, and other entities governed by the Securities Regulation Code, also benefit from the May 15th filing deadline for their annual reports (SEC Form 17-A) and accompanying financial statements.

All submissions must be completed through the SEC’s Electronic Filing and Submission Tool (eFAST). Companies utilizing the BIR’s online system for their AFS submissions are required to include the system-generated transaction reference number or confirmation receipt as verification of successful upload.
