A powerful wave of Republican opposition is building against the proposed merger of Netflix and Warner Bros. Discovery, led by Senator Mike Lee of Utah, chairman of the Senate Judiciary Committee’s antitrust subcommittee.

Lee’s concerns aren’t simply procedural; they strike at the heart of competitive fairness within the rapidly evolving streaming landscape. He fears the deal could stifle innovation and ultimately harm consumers.

Ahead of a crucial February 3rd hearing featuring top executives from both companies – Netflix co-CEO Ted Sarandos and Warner Bros. Chief Strategy Officer Bruce Campbell – Lee formally requested detailed information regarding the merger’s potential impact.

His January 22nd letter outlined specific anxieties, including the possibility of “competitively sensitive information” being improperly exchanged or misused during the regulatory review process. He also warned of a “killer non-acquisition,” where the mere threat of the merger weakens competitors.

Lee’s letter didn’t directly address the competing bid from Paramount Skydance, but his concerns clearly signal a broader skepticism about consolidation within the entertainment industry. The potential for reduced competition is a central theme.

The senator argues the merger could eliminate a major player, giving the combined entity excessive control over valuable content and increased leverage over creators and talent. This concentration of power is a key point of contention.

A recent report from the Digital Progress Institute echoes Lee’s concerns, predicting the merger will lead to higher streaming prices for consumers and urging federal regulators to block the deal. The report paints a bleak picture for viewers.

The Department of Justice and the Federal Trade Commission hold the ultimate power to approve or deny the merger, but have yet to publicly comment. Even former President Trump has indicated a potential involvement in the process.

The report from the Digital Progress Institute was authored by a unique pairing: Joel Thayer, aligning with Trump’s policy goals, and former Representative Ken Buck, a frequent critic of Trump during his congressional career. This bipartisan concern adds weight to the arguments against the merger.

Adding another layer of complexity, Lee also questioned Netflix’s recent exclusive deal with Sony for film content. He believes this arrangement further restricts access to valuable programming for competing streaming services.

Lee specifically requested confirmation that no confidential information from Netflix’s Sony agreement has been shared with Warner Bros., highlighting the sensitivity surrounding content acquisition strategies. The stakes are incredibly high.

Copies of Lee’s letter were also sent to key figures within the Department of Justice, ensuring the concerns reach the highest levels of antitrust enforcement. He is leaving no stone unturned.

Senator Roger Marshall of Kansas and Representative Darrell Issa of California have independently voiced similar antitrust concerns to federal regulators, demonstrating a growing chorus of opposition within Congress. The pressure is mounting.

Despite the mounting scrutiny, Netflix remains confident in its all-cash offer and intends to present that case forcefully at the upcoming congressional hearing, with Sarandos leading the charge. They believe their bid remains the most advantageous.

The international implications are also significant. Lawmakers in the United Kingdom have requested their own antitrust authority investigate the merger, signaling global concern.

The European Union may also intervene, adding another layer of regulatory hurdles. Paramount executives have reportedly been actively lobbying officials in France and the UK to oppose the deal, demonstrating the intensity of the competition.
